Jay has been selected by a number of high net worth individuals and closely held companies to oversee all their legal needs. He acts as outside general counsel for a divergent group of companies including technology, construction, manufacturing and service industries. He frequently represents clients in complex business transactions including acquisitions and other business investments. Jay has particular experience in contract drafting and interpretation issues, including preparing complex purchase and sale agreements, financial and legal due diligence analysis, and business strategies development. He has been lead attorney for transactions in internet, technology, telephone, manufacturing, distribution, healthcare, automobile dealership and other business sectors. Jay is also experienced in real estate development matters, including construction contracts for Multiuser Facilities, apartment buildings, hotels, warehouse and office park facilities, high rise buildings and even the original Washington State Convention and Trade Center.

Background

Jay (born Ellensburg, Washington) joined Ryan, Swanson & Cleveland in 1995 after 16 years of practice as a partner with the former Seattle law firm of Culp, Guterson & Grader.

In his personal life, Jay is a person with diverse interests including international travel, vintage car racing, hiking, and exploring other cultures.  At one time he owned a home in Italy and frequently visits his brother in the South Pacific. He has a personal philosophy of looking outside the box to see what is possible, and developing multiple strategies in problem solving. He is a calculated risk taker that has a low-key leadership style and is open-minded and creative.
